Terms & Conditions
These Terms are a binding agreement between you and Quinn Care Private Limited governing your use of LastCut and our related websites, platforms and mobile apps. Please read them carefully.
These Terms of Service ("Terms") are a binding agreement between you — whether you are using the Service as an individual, as a sole proprietor, or on behalf of an organization ("you" or "Customer") — and Quinn Care Private Limited ("we", "us", or "our"). They govern your access to and use of our websites, platforms, mobile apps, and related services, including LastCut (the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means both you and that organization. If you do not agree, do not use the Service.
01 Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You may use the Service as an individual or on behalf of an organization; where you sign up as an individual or sole proprietor, these Terms bind you personally. You are responsible for the information in your account, for keeping your credentials confidential — including the phone number used to receive one-time passwords in our mobile apps — and for all activity that occurs under your account. You agree to provide accurate information and keep it up to date, and to notify us promptly of any unauthorized use.
02 The Service
We provide AI-assisted tools that generate product imagery and video ("Outputs") from images and other materials you provide ("Customer Content"). The Service relies on machine-learning models, and Outputs are generated automatically. Outputs may vary in quality, accuracy, and realism, and may not always be suitable for your intended use without review. We may update, change, or discontinue features of the Service from time to time.
03 Your content & outputs
Your Customer Content
You retain all rights you hold in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and modify your Customer Content solely to operate and provide the Service to you, including to generate Outputs.
Outputs
As between you and us, and subject to your payment of applicable fees and your compliance with these Terms, we assign to you all of our right, title, and interest in the Outputs generated for you. You are solely responsible for how you use Outputs.
Your responsibilities & warranties
You represent and warrant that you own or have all rights, licenses, and consents necessary to upload your Customer Content and to generate and use the Outputs — including rights in any garments, designs, trademarks, logos, artwork, and the name, image, voice, or likeness of any person depicted. You will not upload content you are not authorized to use.
This obligation is about the rights you must hold in what you upload. It is not a statement that we analyse people in your images: as set out in Photos, videos and face data in our Privacy Policy, we do not collect, detect or derive face data, faceprints or any other biometric identifier from your Customer Content.
04 Acceptable use
You agree not to use the Service to:
- upload or generate content that is unlawful, infringing, defamatory, obscene, hateful, or otherwise harmful;
- create imagery or video depicting a real, identifiable individual without their consent, or any impersonation, "deepfake," or content falsely suggesting a person’s endorsement;
- infringe any intellectual-property, privacy, publicity, or other rights of any third party;
- generate content that sexualizes or otherwise inappropriately depicts minors;
- reverse engineer, decompile, scrape, overload, disrupt, or attempt to gain unauthorized access to the Service or its systems; or
- resell, sublicense, or make the Service available to third parties except as expressly permitted.
We may review, remove, or disable content, and suspend or terminate accounts, that we reasonably believe violate these Terms or applicable law.
These restrictions exist because misusing a person's likeness is harmful, not because we process biometric data — we do not. See Photos, videos and face data in our Privacy Policy.
05 Fees & payment
Paid plans and credits are billed as described at the point of purchase (for example, on a subscription, credit, or usage basis). We may change pricing on a prospective basis with reasonable notice, and we may suspend the Service for overdue or failed payments.
Taxes
Tax treatment differs by where you buy, and the price shown at the point of purchase governs:
- Web platform purchases — fees are exclusive of taxes, including GST. GST is added at checkout and you are responsible for paying it.
- In-app purchases — credits bought inside our mobile apps are sold through Apple's In-App Purchase and Google Play Billing, which act as merchant of record. In India, the price you see in the app is inclusive of applicable GST, which the store collects and remits.
Refunds
Fees paid to us directly are non-refundable unless otherwise stated or required by law. Purchases made through Apple or Google are refunded by that store under its own refund policy, which governs those transactions — we cannot process or reverse them. To request a refund for an in-app purchase, contact Apple or Google Play directly.
06 Intellectual property
We and our licensors own all right, title, and interest in and to the Service, including its software, models, design, and trademarks. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you by implication or otherwise. If you provide feedback or suggestions, we may use them without restriction or obligation to you.
07 Third-party services
The Service may interoperate with or rely on third-party services (such as payment, cloud, and analytics providers). Your use of those services is governed by their own terms, and we are not responsible for them.
08 Confidentiality
Each party may be given access to information the other treats as confidential. Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms, except where disclosure is required by law.
09 Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE FIT FOR ANY PARTICULAR USE.
10 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUINN CARE PRIVATE LIMITED AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 10,000.
11 Indemnification
You will indemnify, defend, and hold harmless Quinn Care Private Limited and its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and reasonable costs (including legal fees) arising out of or related to your Customer Content, your Outputs and their use, your use of the Service, or your breach of these Terms or violation of any law or third-party right.
12 Term & termination
These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time by emailing [email protected], which, once your request is verified, erases your account, uploaded images and generated videos immediately and permanently (see Delete your account). We may suspend or terminate your access if you breach these Terms, if required for legal or security reasons, or if we discontinue the Service. On termination, your right to use the Service ends. Provisions that by their nature should survive — including those on content licenses already granted, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13 Changes
We may modify these Terms or the Service. If we make material changes to these Terms, we will provide notice (for example, by posting the updated Terms with a new date or by emailing you). Changes take effect when posted unless stated otherwise, and your continued use of the Service after that means you accept the revised Terms.
14 Governing law & disputes
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to applicable law, the courts located at our registered office in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction and venue.
15 General
These Terms, together with the Privacy Policy and any order or plan terms, are the entire agreement between you and us regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for failure or delay caused by events beyond its reasonable control. Notices to you may be given through the Service or to the email associated with your account.
